Uber Bids €13 Billion for Delivery Hero, Bringing Talabat and HungerStation Into Fold

A €41.50-a-share cash offer backed by Delivery Hero's boards would put Talabat, HungerStation and Glovo's north-west African units under Uber, subject to reviews running into 2027.

Uber Bids €13 Billion for Delivery Hero, Bringing Talabat and HungerStation Into Fold

Uber has gone public with a voluntary all-cash takeover offer for Delivery Hero valued at €13.0 billion, or €41.50 per share. If it completes, control of Talabat and Saudi Arabia's HungerStation would pass to the US ride-hailing and delivery group.

The bid carries the backing of Delivery Hero's management board and supervisory board. Uber has also lined up enough irrevocable commitments to clear the offer's minimum acceptance condition of 50% plus one share, a threshold it already exceeds on an economic basis.

Prosus commitment secures the math

Technology investor Prosus has pledged to tender its 16.68% stake without conditions. Combined with shares and equity derivatives Uber already holds, that commitment lifts Uber's economic exposure in Delivery Hero above 53%.

What changes in the Middle East and Africa

The deal would place several large consumer platforms in the region under one owner. Beyond Talabat and HungerStation, it covers Delivery Hero's Glovo operations in Morocco, Tunisia and Côte d'Ivoire.

The agreement ends months of uncertainty over those assets, which had drawn exploratory interest from DoorDash.

Uber keeps 50 markets, hands 14 to SSW Partners

Uber is not taking the whole Delivery Hero portfolio. SSW Partners, a New York investment firm, will buy the Delivery Hero businesses in 14 European countries where Uber Eats already operates, for about €1.4 billion. Those units will keep running on Delivery Hero's logistics network while SSW looks for long-term owners.

Uber will hold operations in 50 markets after the transaction, including foodpanda in Asia and PedidosYa in Latin America. On a pro-forma basis the combined group would span 99 markets, with 2025 gross bookings of $236 billion.

Regulatory path

Merger control and other regulatory reviews lie ahead, with closing expected in the second half of 2027. Gulf competition authorities are expected to examine Uber's existing local operations, its minority holding in Careem and Talabat's position in the market.

Uber intends to pay with cash and a committed €14 billion bridge facility. It has also promised not to enter a domination agreement with Delivery Hero for three years.

“By bringing our platforms together, we will extend affordable, reliable delivery to many millions more people in many of the world's most dynamic economies,” said Dara Khosrowshahi, Uber's chief executive.

Niklas Östberg, co-founder and chief executive of Delivery Hero, framed the sale around the European tech sector and the company's 15-year history.

“This acquisition and Uber's planned investment in Germany demonstrate the attractiveness of the European tech ecosystem,” he said, describing the deal as “this great next chapter”.

For Uber, the transaction is as much about where it stops as where it goes: 14 European markets exit the picture almost immediately, while the Middle East, Asia and Latin America account for most of what it keeps.
